1. Acceptance of Terms

By accessing or using https://www.haodong.shop (the "Site") and the services provided by Heze Haodong Network Technology Co., Ltd. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to all of these Terms, you must not access the Site or use our services. These Terms apply to all visitors, users, and clients who access or use our Site and services.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Services" refers to all technology solutions, consulting, system design, systems integration, cloud solutions, cybersecurity, data analytics, custom software development, IT consulting, managed IT services, and any other related offerings provided by the Company.
  • "Client," "you," or "your" refers to the individual, company, or legal entity that accesses the Site or uses the Services.
  • "Site" refers to the website at https://www.haodong.shop and all associated web pages.
  • "Agreement" refers to these Terms of Service together with any applicable service-level agreements, statements of work, and other written agreements between you and the Company.
  • "Content" means all text, graphics, images, software, data, and other materials displayed or made available through the Site and Services.
  • "Confidential Information" means any non-public information disclosed by one party to the other, whether in written, oral, or electronic form, that is designated as confidential or reasonably should be understood to be confidential.

3. Services Description

The Company provides comprehensive computer systems design and integrated services tailored to meet the needs of businesses. Our core service offerings include, but are not limited to: system architecture design and planning, systems integration and deployment, cloud computing solutions (including migration, management, and optimization), cybersecurity assessment and implementation, data analytics and business intelligence, custom software development and programming, IT infrastructure consulting and management, and managed IT support services. The specific scope, deliverables, timelines, and fees for Services will be defined in individual service agreements or statements of work executed between the Company and the Client. The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to Clients.

4. Intellectual Property Rights

All content, trademarks, service marks, logos, trade names, patents, copyrights, and other intellectual property displayed on the Site or incorporated in the Services are the exclusive property of the Company or its licensors. You acknowledge that the Company retains all right, title, and interest in and to the Services, including all underlying technology, software, algorithms, methodologies, and documentation. Unless expressly authorized in writing by the Company, you may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any intellectual property of the Company. Any suggestions, feedback, or ideas you provide to the Company regarding the Services may be used by the Company without any obligation or compensation to you.

5. User Obligations

As a condition of using the Site and Services, you agree to:

  • Provide accurate, current, and complete information as requested through our registration or communication forms and update such information promptly when changes occur;
  • Use the Site and Services only in compliance with all applicable local, national, and international laws, regulations, and ordinances;
  • Not engage in any activity that interferes with or disrupts the Site, Services, or the servers and networks connected to them;
  • Not attempt to gain unauthorized access to any portion of the Site, Services, or any systems or networks related to them;
  • Not transmit or upload any viruses, worms, Trojan horses, malware, or other harmful or malicious code;
  • Not use the Site or Services for any unlawful purpose or in violation of these Terms;
  • Not impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Maintain the confidentiality of any login credentials, API keys, or other access credentials provided to you;
  • Notify the Company immediately of any unauthorized use of your account or any other breach of security.

6. Confidentiality

Both the Company and the Client agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. Confidential Information includes, but is not limited to, business plans, technical data, financial information, client lists, software code, trade secrets, and any information marked as "confidential" or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Each party agrees to: (a) use Confidential Information solely for the purpose of performing obligations under these Terms; (b) restrict access to Confidential Information to those employees and advisors who have a legitimate need to know; (c) protect Confidential Information using the same degree of care used to protect its own confidential information, but in no event less than reasonable care; and (d) return or destroy all Confidential Information upon termination of the business relationship or upon the other party's request. These confidentiality obligations survive termination of these Terms for a period of five (5) years, or indefinitely for trade secrets.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, loss of goodwill, or cost of procurement of substitute services, arising out of or in connection with the use or inability to use the Site or Services, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if the Company has been advised of the possibility of such damages. In any event, the Company's total aggregate liability to you for all claims arising out of or relating to these Terms or the use of the Site and Services shall not exceed the total amount paid by you to the Company for the Services during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

8. Disclaimer of Warranties

The Site and Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage of trade. The Company does not warrant that: (a) the Site or Services will meet your specific requirements; (b) the Site or Services will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Site or Services will be accurate or reliable; (d) the quality of any products, services, information, or other material obtained through the Site or Services will meet your expectations; or (e) any errors in the Site or Services will be corrected.

9. Service Level Agreements

Where a separate Service Level Agreement (SLA) has been executed between the Company and the Client, the terms of that SLA shall govern the performance standards, uptime guarantees, response times, support levels, and remedies for service failures applicable to the specific Services covered. In the absence of a written SLA, the Company will use commercially reasonable efforts to provide the Services in a professional and timely manner, but no specific service levels, uptime guarantees, or performance metrics are committed. Any SLA must be agreed upon in writing by both parties and shall be incorporated by reference into these Terms. The SLA, if any, is the sole and exclusive remedy for service failures and performance issues related to the Services.

10. Payment Terms

Fees for Services shall be as agreed upon and specified in individual service contracts, statements of work, or invoices. Unless otherwise stated in writing, all fees are quoted in Chinese Yuan (CNY) and are exclusive of any applicable taxes, duties, or levies. Payment terms, including due dates and late payment penalties, will be specified in the applicable agreement. Invoices are due and payable within thirty (30) days from the invoice date unless other terms are agreed in writing. The Company reserves the right to charge interest on overdue amounts at a rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower). All fees paid are non-refundable unless expressly stated otherwise in a written agreement. The Company may suspend or terminate Services if payment is not received when due.

11. Termination

These Terms remain in effect until terminated by either party in accordance with this section. Either party may terminate the applicable service agreement in accordance with its terms. The Company reserves the right to suspend or terminate your access to the Site and Services immediately, without prior notice or liability, if you materially breach these Terms or any applicable agreement, engage in fraudulent or illegal activity, or violate any applicable laws. Upon termination: (a) your right to use the Services immediately ceases; (b) you must promptly pay all outstanding fees; (c) each party shall return or destroy the other party's Confidential Information; and (d) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, confidentiality obligations, limitation of liability, indemnification, and governing law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. For clients located outside of China, this choice of law does not deprive you of the protection afforded to you by mandatory consumer protection laws in your jurisdiction that cannot be derogated from by contract. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or any transactions under them.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved through the following process:

  • Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiations. Either party may initiate negotiations by providing written notice to the other party describing the dispute in reasonable detail.
  • Mediation: If the dispute cannot be resolved through negotiation within thirty (30) calendar days, the parties agree to attempt to resolve the dispute through mediation administered by a mutually agreed-upon mediation institution in Heze, Shandong Province.
  • Arbitration or Litigation: If mediation fails or is not pursued, the dispute shall be finally settled by arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC) or, at the Company's option, by litigation in the courts of Heze, Shandong Province. The language of any arbitration or litigation shall be Chinese.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site or Services in violation of these Terms; (b) any breach of your representations, warranties, or obligations under these Terms; (c) your violation of any applicable law or the rights of any third party, including intellectual property or privacy rights; (d) any content or information you submit, post, or transmit through the Site or Services; and (e) any negligent or wrongful act or omission by you or your employees, agents, or contractors. The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with the Company in asserting any available defenses.

15. Force Majeure

Neither party shall be held liable or responsible for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by events or circumstances beyond that party's reasonable control, including but not limited to: acts of God (such as earthquakes, floods, hurricanes, or other natural disasters); war, terrorism, or civil unrest; fire or explosions; epidemics or pandemics; government actions, embargoes, or sanctions; strikes, labor disputes, or supply chain disruptions; failure of telecommunications or internet infrastructure; power outages; and any other events that are unforeseeable and beyond the reasonable control of the affected party. The affected party shall notify the other party promptly upon becoming aware of such event and shall use reasonable efforts to mitigate the impact of the force majeure event. If the force majeure event continues for more than sixty (60) consecutive days, either party may terminate the affected agreement or these Terms without liability.

16. Entire Agreement

These Terms, together with any applicable service agreements, statements of work, service level agreements, and the Privacy Policy referenced herein, constitute the entire and exclusive agreement between you and the Company regarding your use of the Site and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter. In the event of any conflict or inconsistency between these Terms and any other agreement, these Terms shall prevail unless expressly stated otherwise in such other agreement. No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom the waiver is sought. The failure of either party to exercise any right under these Terms shall not constitute a waiver of that right.

17. Changes to Terms

The Company reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice through the Site or by email (if we have your contact information). Changes become effective immediately upon posting on the Site unless a different effective date is specified. Your continued use of the Site or Services after any such changes take effect constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue your use of the Site and Services. It is your responsibility to review these Terms periodically for any changes.

七、责任限制

在适用法律允许的最大范围内,本公司及其董事、高级管理人员、员工、代理人或关联方在任何情况下均不对任何间接、附带、特殊、后果性或惩罚性损害赔偿承担责任,包括但不限于利润损失、数据丢失、业务中断、商誉损失或替代服务的采购成本,无论基于合同、侵权(包括过失)、严格责任或任何其他法律理论,即使本公司已被告知此类损害的可能性。在任何情况下,本公司对您因本条款或使用网站和服务引起的或与之相关的所有索赔的累计赔偿责任总额,不超过您在引起索赔的事件发生前十二(12)个月内向本公司支付的服务费用总额。某些司法管辖区不允许排除或限制特定损害赔偿,因此上述部分限制可能不适用于您。

十、付款条款

服务费用应按个别服务合同、工作说明书或发票中约定的方式和金额支付。除非另有书面说明,所有费用以人民币(CNY)计价,不含任何适用的税费或附加费。付款条款(包括到期日和滞纳金)将在适用协议中载明。除非另有书面约定,发票应在开票日起三十(30)日内支付。本公司有权对逾期款项按月利率1.5%(或法律允许的最高利率,以较低者为准)收取利息。除非书面协议中明确另有规定,所有已支付费用不予退还。如未按时收到付款,本公司可暂停或终止服务。

十一、合同终止

本条款持续有效,直至任一方根据本节规定终止。任一方可根据适用服务协议的条款终止该协议。如果您实质性违反本条款或任何适用协议、从事欺诈或非法活动或违反任何适用法律,本公司保留立即暂停或终止您访问本网站和服务的权利,无需事先通知或承担责任。终止后:(a) 您使用服务的权利立即终止;(b) 您必须立即支付所有未付款项;(c) 各方应返还或销毁对方的保密信息;(d) 根据性质应在终止后继续有效的条款应继续有效,包括但不限于知识产权条款、保密义务、责任限制、赔偿和适用法律。

十二、适用法律

本条款受中华人民共和国法律管辖并依其解释,不考虑其冲突法原则。对于位于中国以外的客户,此法律选择不剥夺您所在司法管辖区强制性消费者保护法律(不得通过合同排除)给予您的保护。《联合国国际货物销售合同公约》(CISG)不适用于本条款或本条款项下的任何交易。

十三、争议解决

因本条款或本条款的违反、终止或效力引起的或与之相关的任何争议、纠纷或索赔应通过以下程序解决:

  • 协商:双方应首先尝试通过善意协商解决任何争议。任一方可通过向对方发送书面通知合理详细说明争议情况来启动协商。
  • 调解:如果争议无法在三十(30)个日历日内通过协商解决,双方同意通过双方共同选定的位于山东省菏泽市的调解机构进行调解。
  • 仲裁或诉讼:如果调解失败或未进行调解,争议应根据中国国际经济贸易仲裁委员会(CIETAC)的规则最终通过仲裁解决,或者由本公司选择,在山东省菏泽市有管辖权的法院通过诉讼解决。任何仲裁或诉讼的语言应为中文。

十四、赔偿

您同意赔偿、辩护并使本公司及其董事、高级管理人员、员工、代理人及关联方免受任何及所有索赔、损害、损失、责任、成本和费用(包括合理的律师费)的损害,这些索赔因以下事项引起或与之相关:(a) 您违反本条款使用本网站或服务;(b) 您违反在本条款下做出的任何陈述、保证或义务;(c) 您违反任何适用法律或第三方权利(包括知识产权或隐私权);(d) 您通过本网站或服务提交、发布或传输的任何内容或信息;(e) 您或您的员工、代理人或承包商的任何疏忽或不法行为或不作为。本公司保留自费对任何由您赔偿的事宜进行独家辩护和控制的权利,届时您应配合本公司主张任何可用的抗辩。

十五、不可抗力

任何一方均不对因超出其合理控制范围的事件或情况导致的未能履行或延迟履行本条款项下义务承担责任,包括但不限于:天灾(如地震、洪水、飓风或其他自然灾害);战争、恐怖主义或内乱;火灾或爆炸;流行病或大流行病;政府行为、禁运或制裁;罢工、劳资纠纷或供应链中断;电信或互联网基础设施故障;电力中断;以及任何其他不可预见且超出受影响方合理控制的事件。受影响方在得知此类事件后应立即通知对方,并尽合理努力减轻不可抗力事件的影响。如果不可抗力事件持续超过六十(60)个连续日,任一方可终止受影响协议或本条款,无需承担责任。

十六、完整协议

本条款连同任何适用的服务协议、工作说明书、服务水平协议及本文引用的隐私政策,构成您与本公司之间关于使用本网站和服务的完整且排他性协议,并取代所有先前和同期关于该主题事项的书面和口头谅解、协议、陈述和保证。如本条款与任何其他协议之间存在任何冲突或不一致,除非该其他协议中明确另有规定,否则以本条款为准。对本条款任何条款的放弃,除非以书面形式并由被寻求放弃方签署,否则无效。任何一方未能行使本条款项下的任何权利,不构成对该权利的放弃。

十七、条款变更
